(二)国际货运代理企业的股东可以由企业法人、自然人或者其他经济组织组成。与进出口贸易、国际货物运输有关、货源稳定的企业法人为大股东。并应在国际货运代理企业中持有。企业法人以外的股东不得持有该国际货运代理企业的股份。其中，有限责任公司型国际货运代理股东人数应在2人以上(含2人)，50人以下(含50人)。股份有限公司的国际货运代理公司，应当至少有五名发起人，其中半数以上的发起人在中国境内有住所。国有企业改制为国际货运代理企业，设立有限责任公司。

(三)国际货物运输代理机构注册资本的最低限额应当符合下列条件:经营国际航空货物运输业务的代理机构注册资本的最低限额为人民币300万元;从事土地国际货运代理、国际快递业务的，注册资本最低为人民币200万元。注册资本的最低限额为两个以上国际货运代理机构之一的最高限额。国际货运代理企业申请设立分支机构，应当增加注册资本50万元。企业注册资本超过上述最低限额的，可以作为设立分支机构的附加资本。

(4)国际货运代理的经营情况包括:

人员:具有从事国际货运代理业务3年以上的业务人员5人以上，业务人员资格由原企业认证;或者取得国际货运代理资格证书;

(二)场所:固定营业场所、自有房屋、场地必须提供产权证明，出租房屋、场地，必须提供租赁合同;

(三)业务设施:必要的业务设施，包括一定数量的电话、传真、电脑、短途运输工具、装卸设备、包装设备等;

(4)源市场:有稳定的进出口市场来源,是指大量的进出口货物,货运代理行业进一步发展的条件和潜力,和宣言的企业可以获得足够的货源;,

(五)章程:国际货运代理的法定章程;

组织机构:具有符合规定的企业名称，设立符合法定要求的组织机构;

企业申请国际货运代理业务范围，包括国际多式联运等业务，除具备上述条件外，还应具备以下条件:从事货运代理业务3年以上;具有相应的国内外代理网络;它拥有在商务部注册的国际货运代理提单。
